Development-Only Subscription Agreement
Welcome! This agreement explains our Development-Only subscription service - a specialized option for organizations needing development coordination and support.
Important Things to Know First
By making your first payment, you're agreeing to these terms. If you're signing up for a company, you need to have permission to do so. This agreement is between Forceworks LLC and one company only - each company needs its own subscription.

1. What You're Getting
1.1 Your Subscription
We're giving you permission to use our Development-Only coordination service for your internal business needs. This is a specialized service designed for organizations with significant custom development requirements.
1.2 What's Included
Here's what you get with your Development-Only subscription:
Development Coordination
- Dedicated Development Coordinator
- Weekly status calls and project updates
- Development prioritization and planning
- Technical consultation during calls
- Ability to purchase and use heavy development blocks
Support Portal Access
- Submit development requests
- Track Development Block usage
- Monitor project progress
- View time reporting
Development Queue Management
- We'll help prioritize your development tasks
- Coordinate multiple concurrent projects
- Manage development team assignments
1.3 What's NOT Included
This subscription includes coordination only. All hands-on work requires Development Blocks, including:
- Any coding or development work
- Configuration changes
- Troubleshooting and debugging
- Code reviews
- Deployment assistance
- Any direct system access or changes
1.4 Client Responsibilities
Important: As a Heavy Development subscriber, you are responsible for:
- Requirements Gathering: Providing detailed specifications and acceptance criteria
- Project Management: Managing timelines, stakeholders, and project coordination
- Testing: All testing, quality assurance, and user acceptance testing
- Deployment: Managing your deployment processes and environments
- Documentation: Maintaining your own technical and user documentation
1.5 Development Block Requirements
60-Day Expiration: Development Blocks expire 60 days after purchase - unused hours don't roll over.
Usage: All hands-on work by our team uses Development Blocks, regardless of complexity.
2. Term, Fees & Payment
2.1 How Long This Agreement Lasts
- Initial Term: 6 months minimum
- Renewal: Automatically renews monthly after initial term
- Cancellation: Requires 60 days written notice
2.2 Payment Details
Two Components:
- Base Subscription Fee: $2,500 per month
- Development Blocks: Purchased as needed (billed separately)
- All prices are in US Dollars
- Foreign currency payments: Add 3% surcharge
- Payments due monthly in advance via auto-pay (ACH)
- Wire transfers: Add 3% handling fee
- We don't accept mailed checks
- Annual price increases based on US inflation rate (Consumer Price Index)
2.3 Taxes
You're responsible for all taxes except those on our net income. If we're legally required to collect taxes, we'll add them to your invoice unless you provide a valid tax exemption certificate.
2.4 Late Payments
Late payments incur a 1.5% monthly charge (or the maximum allowed by law, whichever is less).
3. Service Level Terms
3.1 Coordination Calls
- Scheduled weekly at a mutually agreed time
- 30 minutes standard duration
- Can be rescheduled with 24 hours notice
- Missed calls without notice cannot be made up
3.2 Development Priority
Development-Only subscribers receive priority scheduling for development work, subject to Development Block availability.
3.3 Team Assignment
You'll have a dedicated Development Coordinator and access to our development team pool. We may adjust team assignments with 30 days notice.
4. General Legal Terms
4.1 Who This Agreement Covers
This agreement is just between you and us - no one else can claim rights under it. We're independent businesses, not partners or employer/employee. We may list you as a customer in our marketing materials.
4.2 Don't Hire Our People
During your subscription and for one year after, please don't try to hire or contract with any of our team members who work on your account without our written permission.
4.3 Things Beyond Our Control
Neither of us is responsible for delays caused by events beyond our control (like natural disasters, internet outages, war, terrorism, etc.).
4.4 This Is Everything
This document is our complete agreement. It replaces any previous discussions or understandings. Changes must be in writing and agreed to by both parties. Any purchase orders you send won't change these terms.
5. Additional Important Information
5.1 Third-Party Products
If we offer products from other companies, those come with their own terms. We're not responsible for third-party products or services.
5.2 Keeping Information Private
We'll both keep each other's confidential information private, using at least the same care we use for our own sensitive information. This doesn't apply to information that's:
- Already public
- Known in the industry
- Becomes public (not through our fault)
- Received legally from others
- De-identified data
We can share confidential information when required by law or court order.
5.3 Your Data Belongs to You
You own all your data and any custom code we develop for you. We can use your company name and logo in our marketing materials.
5.4 Changes We Might Make
To the Service
We may update the service and will notify you of major changes. We reserve the right to discontinue the service with 90 days notice.
To These Terms
If we make important changes to these terms, we'll email you or post a notice in your account. If a change negatively affects you and you disagree, tell us within 30 days. You'll keep your current terms until your renewal, then the new terms apply.
5.5 Relationship to Development Blocks Agreement
This subscription requires separate purchase of Development Blocks, which are governed by the Development Blocks Agreement. Both agreements apply to your use of our development services.
5.6 No Service Level Guarantees
Unlike our Works subscription, Development-Only doesn't include response time guarantees or service level agreements for the coordination service itself. Development work timing depends on Development Block availability and development queue.
5.7 Termination
Either party may terminate after the initial 6-month term with 60 days written notice. Upon termination:
- Any unused Development Blocks are forfeited
- We'll complete work in progress up to available blocks
- You'll receive all code and documentation for completed work
By subscribing, you agree to these terms and understand that:
- This is a specialized service requiring significant monthly investment
- All hands-on work requires separately purchased Development Blocks
- Development Blocks expire 60 days after purchase
- This subscription works in conjunction with the Development Blocks Agreement
